Terms and Conditions

1. ACCEPTANCE OF ORDER

The acceptance by Manufacturer (Quantum Composers, Inc.) of the Purchaser’s order is expressly contingent upon Purchaser’s acceptance of the Terms and Conditions stated herein, unless otherwise specifically agreed in writing and signed by the Manufacturer.


2. PRICE

(a) Unless stated otherwise, all prices quoted are in U.S. Dollars, EXW (Ex Works), Bozeman, MT, USA. Possession of goods shall pass to the Purchaser on delivery by the Manufacturer to the carrier at the point of shipment. The Purchaser is responsible for freight and insurance charges for all goods shipped under the purchase agreement.
(b) Prices and orders do not include federal, state, or local excise, sales, use, or other taxes now or hereinafter enacted, which apply to the goods sold. Such taxes will be added by the Manufacturer when required by law and will be invoiced to and paid by Purchaser, unless Purchaser provides a valid exemption certificate.
(c) Prices quoted are for goods and services only and do not include technical data, proprietary rights, patent rights, qualification, environmental, or non-standard testing unless expressly agreed in writing by Manufacturer.
(d) All quotations are valid for sixty (60) days unless extended in writing.


3. PAYMENT TERMS

All commercial orders require pre-payment unless specific net thirty (30) terms have been approved in advance. C.O.D. or other prepayment terms may be required at Manufacturer’s discretion. Manufacturer reserves the right to charge interest at 1.5% per month on overdue balances.

Credit Card:  Orders paid by credit card are subject to a 3% fee. 

Manufacturer reserves a purchase money security interest in goods sold until payment is made in full. In the event of default, Manufacturer may repossess goods without liability. Purchaser agrees to cooperate with Manufacturer in executing documents necessary to protect Manufacturer’s security interest.


4. CHANGES / CANCELLATION

Purchaser may cancel an order in writing within twenty-four (24) hours of placement. After that time, Purchaser shall reimburse Manufacturer for finished goods, obligated inventory, work-in-process, and costs incurred due to cancellation. Changes to orders must be agreed to in writing. Manufacturer reserves the right to adjust delivery schedules based on such changes.


5. WARRANTY

Pulse and Current Generators: (a) Manufacturer warrants goods to be free from defects in materials and workmanship for twenty-four (24) months from shipment, under conditions specified in Manufacturer’s warranty.
(b) Purchaser must contact Manufacturer for an RMA number before returning goods.
(c) Warranty returns must be prepaid and shipped to Manufacturer’s designated office. If confirmed defective under warranty, Manufacturer will cover return shipping to the original ship-to point. Non-warranty returns are shipped at Purchaser’s expense.
(d) Manufacturer is not liable for damage to goods not properly prepared for transport.
(e) If goods are returned without cause and found serviceable, Purchaser will bear return costs and may be charged for testing and shipping reimbursement.

Lasers, Laser Systems and Laser Modules:

(a) Manufacturer warrants goods to be free from defects in materials and workmanship for tweleve (12) months from shipment, under conditions specified in Manufacturer’s warranty.
(b) Purchaser must contact Manufacturer for an RMA number before returning goods.
(c) Warranty returns must be prepaid and shipped to Manufacturer’s designated office. If confirmed defective under warranty, Manufacturer will cover return shipping to the original ship-to point. Non-warranty returns are shipped at Purchaser’s expense.
(d) Manufacturer is not liable for damage to goods not properly prepared for transport.
(e) If goods are returned without cause and found serviceable, Purchaser will bear return costs and may be charged for testing and shipping reimbursement.

Limitation of Liability: Manufacturer’s liability is limited to repair, replacement, or refund at its sole discretion. Manufacturer shall not be liable for special, consequential, or incidental damages, including loss of profits.


6. SUBSTITUTIONS AND MODIFICATIONS

Manufacturer may make substitutions or modifications that do not materially affect product performance or appearance, at its discretion.


7. MANUFACTURER’S RIGHT TO SUBCONTRACT

Manufacturer may subcontract any portion of work on items subject to this agreement. Manufacturer’s obligations and rights under this contract remain unaffected.


8. COMPLIANCE WITH EXPORT REGULATIONS

Purchaser shall comply with all U.S. export and re-export laws and regulations. Goods may not be sold, transferred, or disclosed in violation of U.S. laws. Purchaser agrees to obtain clarification from appropriate agencies when uncertain and to report violations promptly.


9. PROPRIETARY RIGHTS

The sale of goods confers no rights or licenses in Manufacturer’s patents, copyrights, or proprietary information. Manufacturer retains all proprietary rights in designs, engineering data, and technology associated with its products. Purchaser shall protect confidentiality of such information.


10. SHIPMENT

All orders are build-to-order and subject to lead times stated in Manufacturer’s order confirmation. Delivery dates are approximate and delays do not constitute grounds for cancellation or liability.


11. FORCE MAJEURE

Manufacturer shall not be liable for failure to deliver due to causes beyond its control, including natural disasters, strikes, riots, embargoes, or government actions.


12. TRANSPORTATION AND RISK OF LOSS

Unless otherwise agreed in writing, all transportation and risk of loss are borne by Purchaser. Manufacturer may ship freight collect and choose carrier and routing. Risk of loss passes to Purchaser upon shipment from Bozeman, MT. Purchaser shall insure goods until paid in full or returned with Manufacturer’s consent.


13. INSPECTION AND ACCEPTANCE

Purchaser must inspect goods within thirty (30) days of delivery. Failure to notify Manufacturer of defects within this period constitutes acceptance. Use of goods constitutes acceptance.


14. RETURNS

Goods may be returned only for defects, within thirty (30) days, and only with Manufacturer’s written authorization. Unauthorized returns will not be accepted.


15. BANKRUPTCY OR INSOLVENCY

If Purchaser’s financial condition raises reasonable doubt about its performance, Manufacturer may cancel the agreement, require advance payment, or ship C.O.D. at its discretion.


16. PRECEDENCE

These Terms and Conditions override any conflicting terms in Purchaser’s purchase orders unless otherwise agreed in writing by Manufacturer.


17. APPLICABLE LAW

These Terms and Conditions are governed by the laws of the State of Montana, without reference to its conflict of law provisions.


18. SHIPPING TERMS (INCOTERMS 2025)

  • EXW (Ex Works): Buyer is responsible for all shipping, insurance, and customs charges once goods are made available at Manufacturer’s dock in Bozeman, MT. This applies when Buyer provides their carrier account (FedEx, UPS, DHL) and is billed directly.

  • DAP (Delivered at Place): Manufacturer is responsible for shipping and insurance up to Buyer’s site. Buyer is responsible for all import duties, taxes, and fees. Manufacturer may pay certain export fees as required by DAP. This applies when shipping is arranged and billed through Manufacturer’s account.

  • DDP (Delivered Duty Paid): Manufacturer does not accept DDP terms.
